Delaware Law Invalidates Fee-Shifting

Delaware has passed a law that invalidates fee-shifting provisions in connection with internal corporate claims for corporations chartered in the state. The fee-shifting and forum selection provisions the law addresses include derivative claims based on a violation of duty by current or former directors or officers or controlling stockholders of the corporation, or persons who aid and abet those breaches.
