Proxy access and social/environmental matters head the list of concerns finding their way into shareholder proposals in the 2015 proxy season, according to a report by the EY Center for Board Matters. Based on contacts with dozens of institutional investors and advisers, EY found a four-fold increase in the number of shareholder proposals seeking proxy access that would enable shareholders meeting certain requirements to add board candidates to management proxy materials. Proxy access was the most common single proposal, but when considered as a category, social and environmental concerns topped the list. These included proposals for disclosure and oversight of political and lobbying expenditure, for increasing board diversity, reporting on sustainability, and reporting on global labor practices.
